Welcome to the Costume Contest Sweepstakes (the "Sweepstakes"), sponsored by A Parent Media Co. Inc. ("Sponsor"). PLEASE READ THESE SWEEPSTAKES RULES CAREFULLY BEFORE ENTERING INTO THE SWEEPSTAKES.

THERE IS NO PURCHASE OR PAYMENT NECESSARY IN ORDER TO ENTER OR WIN THE SWEEPSTAKES. ANY PURCHASE OR PAYMENT OF ANY KIND THAT YOU MAKE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE SWEEPSTAKES IS SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS, AND IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

This Sweepstakes is powered by Wit Labs, Inc. ("Wit") on behalf of Sponsor, and is accessible via the Wit website at witcontests.com (the "Platform"). For the avoidance of doubt, Wit administers and provides the Platform for the Sweepstakes, but is not the sponsor for the Sweepstakes.

As a legal requirement for participating in this Sweepstakes as an entrant ("Entrant" or "You") hereby agree to be bound by these Sweepstakes Rules (the "Rules") which form a legal contract by and between You and Sponsor. If You do not agree and consent to these Rules, please do not enter the Sweepstakes or use the Platform. To participate in the Sweepstakes, You must agree to the Wit Terms of Use.

1. SWEEPSTAKES

Sweepstakes Description. Entrant agrees to prepare and submit certain video, photo, information, documents, audio or other materials ("Content") for evaluation subject to eligibility and in accordance with the Official Rules as described herein. After submission, Entrant may or may not be deemed a Winner (as defined in Section 3.1), subject to eligibility and compliance with these Rules. Prizes will be awarded for this Sweepstakes, and will be publicly displayed on the Sweepstakes Landing Page (as defined below).

Sweepstakes Period. Sweepstakes Start Date: October 24 2025 at 12:00 am MT. Sweepstakes End Date: November 2, 2025 11:59 pm MT. The Sweepstakes will begin on the above Start Date, and will last through the above End Date ("Sweepstakes Period").

Rules. By participating in the Sweepstakes, Entrant unconditionally accepts and agrees to comply with and abide by these Rules, waives any right to claim ambiguity in the Rules or Sweepstakes related advertising/materials and agrees that the decisions of Wit or Sponsor with respect to the Sweepstakes and any prize awards shall be final and binding in all respects. Sponsor reserves the right to alter the terms of these Official Rules at their discretion. Any such changes to the Official Rules will be prominently displayed and any conflicting changes to the Official Rules will be superseded by the most recent version of the Official Rules.

Sweepstakes Administration. Wit, on behalf of Sponsor, performs the collection, submission or processing of Entrant entry forms for the Sweepstakes ("Entries"), as well as the overall administration of the Sweepstakes. Entrant may contact Wit with any questions, comments or problems related to administration of the Sweepstakes. Wit may be reached by email at team@witcontests.com during the Sweepstakes Period.

2. ELIGIBILITY

Eligible Entrants. The Sweepstakes is open only to legal residents of the fifty (50) United States, the District of Columbia, U.S. overseas territories and possessions who are of eligible age to participate in their jurisdiction and 18 years of age or older, or, if in Alabama or Nebraska 19 years of age or older, and in Mississippi 21 years or older, except those in Florida, New York, and Rhode Island, and legal residents of Canada who do not reside in the province of Quebec, who have reached the age of majority in their province or territory. By participating, Entrants agree to be bound by these Rules and the decisions of Wit or Sponsor, which are binding and final on matters relating to this Sweepstakes.

Non-eligible Persons. Sponsor, its parents, subsidiaries, affiliates, distributors, retailers, sales representatives, Sweepstakes administrator, advertising and promotion agencies; and each of their respective officers, directors, employees, consultants and contractors (the "Sponsor Entities"), are ineligible to enter the Sweepstakes or win any related prize. "Household Members" means those people who share the same residence as any Sponsor Entity for at least three (3) months during a given year. "Immediate Family Members" means parents, step-parents, legal guardians, children, step-children, siblings, step-siblings or spouses of any Sponsor Entity. Household Members and Immediate Family Members of any Sponsor Entities are also not eligible to enter or win the Sweepstakes.

Minor Participants. This Sweepstakes is subject to, and we comply with, all applicable laws relating to the collection of information from minors including the GDPR, CCPA, USA Children's Online Privacy Protection Act ("COPPA") and associated Federal Trade Commission ("FTC") rules. Persons under the age of 18 are not eligible to participate in this Sweepstakes without consent of a parent or guardian, and persons under the age of 13 are not eligible to participate in this Sweepstakes under any circumstances. We will immediately reject and delete any Entry received from a person under the age of 18 without consent of a parent or guardian. Participants are required to provide truthful information, and we will reject and delete any Entry that we discover to be false or fraudulent.

3. PRIZES

Prizes Awarded. There will be three (3) total winners. The winner will be randomly selected from eligible Entries on or about November 2, 2025, after the conclusion of the Sweepstakes Period. Odds of winning depend on the number of eligible entries received. There will be three (3) Grand Prize winners consisting of one (1) $250 Visa Gift Card. Total Approximate Retail Value of the Grand Prize is $750. All potential winners are subject to verification by Sponsor or Wit, whose decisions are final. All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winner.

Prizes cannot be transferred, redeemed for cash or substituted by an Entrant. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater estimated value if a prize described in these Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The estimated value of the prize represents Sponsor's good faith determination. That determination is final and binding, and cannot be appealed. If the actual value of the prize turns out to be less than the estimated value, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Sponsor will not replace any lost or stolen prize items.

4. HOW TO ENTER

Entrants may enter the Sweepstakes during the Sweepstakes Period online by visiting the Wit website and doing the following:

Upload your photo Content and successfully transmitting a completed online entry form as directed after visiting the Wit website at https://web.witcontests.com/kidoodletv/artwall/halloween-costume-251023 (specified "Sweepstakes Landing Page"), and wait for it be approved. Your Content must be on topic for the Sweepstakes and Sponsor has full discretion in determining whether or not that holds true for your Content. Upon approval by Sponsor, you will be entered into the Sweepstakes.

Entrants must fully complete and submit all non-optional data requested on the online entry form to be eligible. Incomplete or inaccurate entries are void. All entries must include a valid email address for the Entrant.

ONLY ORIGINAL CONTENT IS ELIGIBLE TO WIN THE SWEEPSTAKES. Each Entrant must be the original creator of his/her submitted Content, and Sponsor reserves the right to validate that originality.

No Automated Entries. All automated or robotic Entries submitted by individuals or organizations will be disqualified. All Entries by Entrants must be made manually by such Entrants. Any attempt by an Entrant to submit multiple Entries by using multiple/different email addresses, phone numbers, identities, registrations, logins or any other methods will void such Entrant's Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to the eligibility verification of these Rules. All Entries must be submitted by the end of the Sweepstakes Period in order to participate. Wit's database clock will be the official timekeeper for this Sweepstakes.

5. WINNER SELECTION

The Sweepstakes winner(s) will be notified by e-mail at the end of the Sweepstakes Period. Sponsor and Wit are not responsible for any delay or failure to receive notification for any reason, including inactive account(s), technical difficulties associated therewith, or an Entrant's failure to adequately monitor the Wit app or website. Any winner notification not responded to by the Entrant, or returned as undeliverable may result in prize forfeiture. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a publicity release (collectively "the Prize Claim Documents"). In the case of prizes that include guests, the potential prize winner understands and agrees that, as a condition of participation in the prize, guests may be required to sign and return a similar release of liability and a publicity release that grants Sponsor the same permissions for use of their names, likenesses and other information as set out in Section 8 below, and that refusal to sign those releases may result in guest being denied the ability to participate in the prize. No substitution or transfer of a prize is permitted except by Sponsor.

6. INTELLECTUAL PROPERTY OWNERSHIP

Entrant hereby acknowledges and agrees that, in the event the Sweepstakes requires or permits submission of any content by Entrant, including but not limited to Entrant's photograph, artwork, text or other content ("Content"), all such Content submitted by Entrant shall be deemed a 'work made for hire', as defined in the United States Copyright Act. Entrant agrees that Sponsor shall be the exclusive owner of such Content and all rights therein. Sponsor's ownership includes without limitation the rights to: (i) exhibit, broadcast, use, reproduce, distribute, perform and license others to use all or any part of the Content; (ii) edit or modify the Content in any manner, or combine same with any other materials; and (iii) use and license third parties to use the Content and/or any portion thereof in any manner of exploitation and, in the case of (i), (ii) or (iii), in any digital, print or other medium whether now known or hereafter discovered, worldwide and in perpetuity with no obligation of further consideration or of notice, review or approval.

7. PRIVACY

Personally identifiable information ("PII") that is submitted by Entrant as part of this Sweepstakes will be used to administer the Sweepstakes, select and announce the winner. Entrant hereby waives any claims that Entrant may have or acquire against the Sponsor for libel, slander, invasion of privacy, copyright or trademark violation, moral rights, right of publicity, rights of privacy, or false light arising out of or in connection with such use. Entrant agrees that this waiver of privacy rights and constitutes a valid consent to uses of any PII as may be required under applicable data protection laws. Any PII that you provide in participating in the Sweepstakes is subject to the privacy policies of the Sponsor and Wit. Please review the Sponsor privacy policy at A Parent Media Co. Inc. Privacy Policy, and the Wit privacy policy at Wit Privacy Policy. By entering the Sweepstakes, you grant Sponsor and Wit permission to share your email address and any other PII with the other Sweepstakes partners for the purpose of administration and prize fulfillment, including use in a publicly available winners list. Winner, by acceptance of prize, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city, state, province or territory), photograph, voice and other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media (including digital media) now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval.

8. GENERAL CONDITIONS

Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, garbled, illegible or postage-due mail, Entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), Platform, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of the prizes or in any Sweepstakes-related materials.

Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by other Entrants or third parties, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to Entrants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Platform. Persons who tamper with or abuse any aspect of the Sweepstakes or Platform or who are in violation of these Rules, as solely determined by Sponsor or Wit, will be disqualified and all associated Entries will be void.

Should any portion of the Sweepstakes, in Sponsor's or Wit's sole opinion, be compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor or Wit, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect Entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor.

Entrants, by participating, agree that Sponsor, Wit, and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, "Released Parties") will have no liability whatever for, and shall be held harmless by Entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize, including any travel/activity related thereto, or participation in this Sweepstakes.

In the event of a dispute regarding Entries received from multiple users having the same e-mail or social media account, the authorized subscriber of the e-mail or social media account at the time of entry will be deemed to be the Entrant and must comply with these Rules. Authorized account subscriber is the natural person who is assigned the e-mail address or social media account by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses or the social media account in question.

CAUTION: ANY ATTEMPT TO DAMAGE THE PLATFORM OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH INDIVIDUAL AND RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

9. WINNERS LIST

For the names of the winner(s) (available after November 2, 2025), send a self-addressed stamped envelope to: A Parent Media Co. Inc., Attn: Costume Contest Sweepstakes, Suite 320 333, 24th Avenue SW, Calgary, Alberta. Winner List requests must be received no later than 11/2/29.

10. GOVERNING LAW

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, or the rights and obligations of entrants or Sponsor in connection with the drawing or award, shall be governed by, and construed in accordance with, the laws of the State of Calgary, without regard to conflict of law principles. All legal proceedings arising out of or in connection with the offer of these Rules shall be brought solely in Calgary, Alberta. By participating and/or accepting a prize, participants and/or winners expressly submit to the exclusive jurisdiction of said courts and the convenient forum therein and consent to extraterritorial service of process.

If any provision of these Rules is deemed unenforceable for any reason, such provision shall be severable and deemed null and void, and the remainder of these Rules shall remain in full force and effect. The failure of either party to insist upon the performance of any provision herein will not be considered a waiver of such provision or limitation of the parties' rights or obligations under these Rules.

From time to time we may e-mail important information to you regarding the Service (such as a change to our service offering).

In addition, when you request information from us or become a member/subscriber of the Service, we may use the e-mail address that you provide to send you information about offers on products and services that we believe may be of interest to you. If you do not wish to receive such e-mails, you may opt out of receiving emails by simply clicking on the unsubscribe link within the email sent by us.

A Few Words About Online Safety

It is important to remember that while we take steps to protect your personal information and the integrity of the Service, no security measures are perfect or impenetrable. Always be cautious about the information you provide or store online.

How Long Is Your Personal Information Kept and How Is It Protected?

Unless otherwise required by law, it is our policy to not retain Personal Information for longer than is reasonably necessary to achieve the purpose for which it was collected. The criteria we use to determine specific retention periods include: the type of data; whether you have provided your consent and have not withdrawn it; whether there are other legal grounds for the continued processing; whether you have objected to the processing and there are no overriding legitimate grounds for the processing; and whether retention or deletion is necessary to comply with legal obligations.

APMC has implemented physical, technical and procedural safeguards that are appropriate to the sensitivity of the personal information we collect. Unfortunately, no data transmission over the internet can be guaranteed to be 100% secure. As a result, while the Service strives to protect your personal information, we cannot guarantee the confidentiality or security of any information you transmit to us, and you do so at your own risk.

Children’s Information

We do not knowingly collect, use, disclose or store any personal information from a child under the age of 13 unless we have obtained prior verifiable parental consent. Currently, the registration features on the Service are intended strictly for parental/guardian use and we take several measures to make this apparent to our users and prevent children from submitting personal information to our Service. We will only share individual user information about your child with companies, organizations or individuals when we have parental consent. You may withdraw your consent and request deletion of your account and related information at any time by contacting us at privacy@kidoodle.tv.

We also ask parent(s)/guardian(s) to carefully monitor the usage of the Service as part of a joint commitment to work with APMC to provide a safe viewing experience for children. If you wish to further understand how your child may use the Service, you may visit the Parents Room associated with your account, which provides access to information regarding the titles that your account has accessed through the Service, time spent using the Service, and other parent account information. Additionally, the Service does not allow interest-based advertising or remarketing.

If we learn that we have inadvertently gathered personal information directly from a child we will attempt to notify such child’s parent or guardian and remove such information from our records. If you believe that we might have collected personal information from your child without your consent, please contact us at privacy@kidoodle.tv.

How Do We Use Cookies and Local Shared Objects?

When you visit the Service, we may place a “cookie” on the hard drive of your computer to track your visit. A cookie is a small data file that is transferred to your hard drive through your web browser that can only be read by the website that placed the cookie on your hard drive. The cookie acts as an identification card and allows the Service to identify you and to record your passwords and preferences. What Are Persistent Device Identifiers?

Persistent device identifiers are unique strings that are associated with the mobile device that you use to connect to the Service. APMC uses persistent device identifiers to identify and track your mobile device usage of the Service. Persistent device identifiers may be modified or disabled by sophisticated users. Disabling persistent device identifiers may interfere with the proper functioning of the Service.

What are Your Rights?

You have specific rights regarding your Personal Information. This section describes those rights and explains how to exercise them.

The right to know what and access the Personal Information we have collected about you;
The right to delete your Personal Information, subject to certain exceptions;
The right to correct inaccurate Personal Information that we have about you;

The right to opt-out of the sale or sharing of Personal Information, or targeted advertising. We do not engage in selling or sharing of Personal Information or targeted advertising as those terms are defined by relevant laws;

By posting, uploading, displaying, performing, transmitting, sharing or otherwise distributing any User Materials to this Site or the Services, you agree that APMC may, with or without notice to you, remove or render inaccessible such User Materials from the Site or the Services at any time and for any reason, including, without limitation, account inactivity or compliance with law including, where applicable, the DMCA (as defined below) provisions respecting intellectual property protection.

If you choose to transmit, share or otherwise distribute your User Materials to third parties through the Site or the Services, you represent and warrant that you will do so in compliance with all laws, including, without limitation, any laws governing the transmission of commercial electronic messages or similar.

You are solely responsible for your User Materials. You are solely responsible for making and keeping backup copies of your User Materials and for applying the appropriate level of access rights to same. APMC shall not be responsible or liable for the loss, deletion or accuracy of any User Materials, the failure to store, transmit, encrypt (or otherwise secure) or receive any User Materials, or the storage, transmission, encryption (or other security) or receipt of any other communication involving the use of this Site or the Services. We may, in our sole discretion, limit the data volume of User Materials that you post or upload to the Site or Services, and may charge a fee for the storage of greater volumes of data, as discussed above. Further, we may, in case of Account inactivity for a period of 365 days, delete your User Materials.

You are solely responsible for obtaining and maintaining any necessary consents or permissions from any third party whose information may be collected, recorded, processed, stored, used, disclosed, transferred, exchanged or otherwise handled as a result of, or as part of, any User Materials or any communications involving the use of this Site or the Services including without limitation that you have the consent to include images of each identifiable person included in the User Materials and agree to obtain and maintain all such consents or permissions throughout the term of this agreement.

Claims under US Copyright Law

The Digital Millennium Copyright Act of 1998 (“DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe, in good faith, that materials hosted on the Site infringe your copyright, please provide APMC at the address above with a notice of infringement (“Notice”) containing the following information:

an electronic or physical signature of the owner of the copyright or of the person authorized to act on behalf of the owner of the copyright interest;
a description of the copyrighted work that you claim has been infringed including the URL (i.e. Internet address) or other specific location on the Site where the material that you claim is infringing is located, including enough information to allow us to locate the material and to determine why you believe an infringement has taken place;
a description of the location where the original or an authorized copy of the copyrighted work exists, for example the URL where it is posted;
your address, telephone number, and e-mail address;

Notices and counter-notices must meet the then-current statutory requirements imposed under the DMCA. We suggest that you consult a legal advisor before filing a Notice or counter-notice. Also be aware that there can be penalties for false claims under the DMCA. APMC may suspend or terminate membership privileges, Accounts and access to the Site and Services for those who engage in repeated acts of infringement.

Claims under Canadian Copyright Law

Effective January 2, 2015, new rules under the amended Canadian Copyright Act also give copyright owners the right to send notifications to digital network providers, including organizations such as APMC, alleging that a customer has infringed their Canadian copyright. This system is known as “Notice-and-Notice”. Notices sent under it must contain certain information:

the infringement alleged;
to which material the allegation relates;
the claimant’s right in the material, and name and address; and
the electronic address, date, and time of the alleged activity.
Such a notice should be sent to APMC at the address above.

Under Notice-and-Notice, digital network providers, including organizations such as APMC receiving a notice of claimed infringement are required to do two things. We must forward the notice of claimed infringement to the customer/Subscriber whose account corresponds to the electronic location and time identified in the notice. Secondly, we must preserve, for six months, the records allowing the identity of the person to whom the electronic location belongs to be determined. If a court orders us to, we may be required to preserve those records for longer.

Rightsholders are entitled to take legal action to enforce their rights under the Canadian Copyright Act.

Claims under other Copyright Law

Other laws in other countries may provide different remedies for cases of alleged copyright infringement. APMC abides, and requires its customers, to abide by all applicable laws. APMC therefore encourages everyone to become familiar with their rights and obligations under the law. These include both copyright obligations, and privacy rights.

Copyright owners who believe that copyrights other than in Canada on the United States may be infringed may send notifications to APMC, alleging that a customer has infringed their copyright and should specify:

the infringement alleged;
to which material the allegation relates;
the claimant’s right in the material, and name and address; and
the electronic address, date, and time of the alleged activity.
Any other relevant information should also be included in the notice. Such a notice should be sent to APMC at the address above.

Disclosure of Customer Information

APMC may be asked, under the applicable law, to provide customer information when there is evidence of potential copyright infringement, and the copyright owner decides to take action. APMC will only disclose customer information in these circumstances if required to do so by a court order or other legal or regulatory process.

THE CONSIDERATION BEING PAID HEREUNDER DOES NOT INCLUDE ANY CONSIDERATION FOR APMC TO ASSUME ANY RISKS BEYOND THOSE EXPRESSLY ASSUMED HEREIN AND IF ANY SUCH RISKS WERE TO BE ASSUMED BY APMC, APMC WOULD NOT HAVE ENTERED INTO THIS AGREEMENT WITHOUT CHARGING SUBSTANTIALLY HIGHER FEES AND ON MORE RESTRICTIVE CONDITIONS.

SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

19. INDEMNIFICATION

YOU AGREE TO, UPON REQUEST, INDEMNIFY AND HOLD US HARMLESS FROM ANY AND ALL LIABILITIES, CLAIMS, LOSSES AND EXPENSES, INCLUDING ATTORNEYS’ FEES, WHICH ARISE DIRECTLY OR INDIRECTLY FROM ANY BREACH OF THESE TERMS OF USE FOR WHICH YOU ARE RESPONSIBLE, OR FROM YOUR USE OF THIS SITE OR THE SERVICES OR TRANSMISSION OF ANY MATERIALS OR USER MATERIALS OR OTHER CONTENT THROUGH THIS SITE OR THE SERVICES.

Without limiting the foregoing, these Terms of Use and the licenses granted herein shall automatically terminate, without notice, if you materially fail to perform or comply with these Terms of Use or any provision hereof. 27. CANCELLING YOUR SUBSCRIPTION

You may cancel your subscription to the Service at any time by going into the Parents Room, clicking on the Parent’s Account tab and choosing “Cancel Subscription”.

Should you choose to cancel your Subscription, for reasons of privacy and security, we ask that you cancel your subscription using the process described above or contact us through the “Need Help? Message Us!” tab in the Parents Room. Alternatively, we may send an email to the electronic address used to subscribe to Kidoodle.TV to verify the Subscriber’s identity and confirm that they wish to cancel the Subscription assigned to that electronic address.

28. COMMERCIAL ELECTRONIC MESSAGES

Under Canada’s Anti-Spam Legislation, we require your consent to receive Commercial Electronic Messages (including email) from us.

A “Commercial Electronic Message” is defined to include “an electronic message that, having regard to the content of the message, the hyperlinks in the message to content on a website or other database, or the contact information contained in the message, it would be reasonable to conclude has as its purpose, or one of its purposes, to encourage participation in a commercial activity.”

Unsubscribing from this email list does not unsubscribe you from the Service or from factual notice emails that are emailed to you as part of the Service, nor does it delete your Kidoodle.TV account. 29. MISCELLANEOUS

These Terms of Use are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regards to its principles of conflicts of law. Subject to the obligation to arbitrate below, you agree to personal jurisdiction by the federal and provincial courts located in the Province of Alberta, Canada, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

Except where prohibited by applicable law, any controversy, claim or dispute arising out of or relating to these Terms of Use, the Site or the Services or the relationship which results from these Terms of Use, including without limitation, the performance, breach, enforcement, existence or validity of the matters provided for in these Terms of Use or your receipt and use of the Site or Services, which cannot be amicably resolved, (collectively, a “Claim”), will be referred to and finally settled (to the exclusion of the courts) by private and confidential binding arbitration before a single arbitrator held in Calgary, Alberta in English and governed by Alberta law pursuant to the Alberta Arbitration Act, as amended, replaced or re-enacted from time to time. The arbitrator will be a person who is legally trained and who has experience in the information technology field in Canada or the United States of America and is independent of either party. Any such Claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim, controversy or dispute of any other party. Except where prohibited by applicable law, you agree to waive any right you may have to commence or participate in any class action against the APMC relating to any Claim and you also agree to opt out of any class proceedings against the APMC. Notwithstanding the foregoing, APMC reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.

If any provision of these Terms of Use is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

These Terms of Use set out the entire agreement between us relating to the subject matter herein and supersede and any all prior or contemporaneous written or oral agreements between us. These Terms of Use are not assignable, transferable or sub-licensable by you except with APMC’s prior written consent. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in these Terms of Use is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
